1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you", "your", "Customer", or "User") and Parchika Ltd ("Parchika", "we", "us", or "our"), a company registered in the United Kingdom with its office in Rugby, United Kingdom.
By accessing or using the Parchika website (https://parchika.com), mobile applications (iOS and Android), cloud-based Point of Sale (POS) software, and any related services (collectively, the "Services"), you agree to be bound by these Terms, our Privacy Policy, and any additional terms or policies referenced herein.
If you are agreeing to these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not access or use our Services.
2. Definitions
"Account" means the registered account you create to access and use the Parchika Services.
"Customer Data" means all data, content, records, and information that you or your authorised users upload, input, store, or process through the Services, including but not limited to sales transactions, inventory records, customer information, staff records, and business analytics.
"End Customer" means any individual or entity that purchases goods or services from you using or facilitated by the Parchika POS system.
"Subscription" means your selected service plan (Free, Pro, or Enterprise) and its associated features, limitations, and pricing.
"Third-Party Integrations" means external platforms, applications, and services that connect to Parchika, including but not limited to Uber Eats, DoorDash, Zomato, Swiggy, Deliveroo, Shopify, WooCommerce, QuickBooks, Xero, WhatsApp Business, and other integration partners.
3. Eligibility
To use our Services, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction.
- Have the legal capacity and authority to enter into a binding agreement.
- Be a registered business entity or an authorised representative of one.
- Provide accurate, current, and complete registration information.
- Not have been previously suspended or removed from the Services.
Parchika reserves the right to refuse service to anyone and to terminate accounts that do not meet these eligibility requirements.
4. Account Registration and Security
4.1 Account Creation
To access most features of the Services, you must register for an account by providing your business name, contact information, business type, and other required details. You agree that all information provided during registration and throughout your use of the Services is truthful, accurate, and up to date.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to:
- Use a strong, unique password and change it periodically.
- Immediately notify Parchika of any unauthorised access to or use of your account.
- Not share your account credentials with any unauthorised person.
Parchika shall not be liable for any loss or damage arising from your failure to maintain the security of your account.
4.3 Staff Accounts
You may create sub-accounts for your staff members with varying levels of access and permissions. You are solely responsible for managing staff access, including promptly revoking access when a staff member's employment or engagement ends. All actions taken through staff accounts are your responsibility.
5. Description of Services
5.1 Core POS Features
Parchika provides an AI-powered, cloud-based POS platform that includes, depending on your Subscription plan:
- Billing and invoicing with support for GST, VAT, and other tax regimes.
- Kitchen Order Ticket (KOT) management and Kitchen Display System (KDS) integration.
- Table management, QR code ordering, and dine-in operations.
- Inventory and stock management with real-time tracking.
- Customer Relationship Management (CRM) and loyalty programme tools.
- Online ordering and delivery management.
- Multi-outlet management from a centralised dashboard.
- Staff management, role-based access, and shift scheduling.
- Reporting, analytics, and business intelligence dashboards.
- Offline billing capability with automatic cloud synchronisation when connectivity is restored.
5.2 AI-Powered Features
Parchika's AI capabilities include:
- Demand forecasting based on historical data, seasonal trends, and local patterns.
- Menu optimisation with data-driven recommendations for pricing, layout, and promotions.
- Anomaly detection to identify unusual transaction patterns, such as excessive voids, atypical refund rates, or unexpected cash discrepancies.
- Daily AI-generated performance briefs summarising key business metrics.
AI features are provided as decision-support tools. You acknowledge that AI-generated insights are based on data analysis and should be reviewed and validated before acting upon them. Parchika does not guarantee the accuracy or completeness of AI predictions.
5.3 Third-Party Integrations
Parchika offers integrations with over 200 third-party platforms. The availability, functionality, and terms of these integrations are subject to the respective third-party providers' terms and conditions. Parchika is not responsible for the performance, availability, or policies of third-party services.
5.4 Mobile Applications
Parchika provides mobile applications for iOS and Android devices. Your use of these applications is also subject to the applicable app store terms and conditions (Apple App Store or Google Play Store).
6. Subscription Plans and Pricing
6.1 Plans
Parchika offers the following Subscription plans:
- Free Plan: Provides core POS features for a single outlet with basic functionality at no cost. Certain features and integrations may be limited.
- Pro Plan: Provides the full suite of features, including AI-powered insights, advanced reporting, multi-outlet support, and priority customer support, at a monthly or annual fee.
- Enterprise Plan: Customised solutions for large-scale businesses, including dedicated account management, SSO/LDAP integration, bespoke customisations, and guaranteed SLAs. Pricing is determined on a case-by-case basis.
6.2 Pricing and Payment
Pricing for paid plans is displayed on our website and may vary by region. All prices are exclusive of applicable taxes unless otherwise stated. You agree to pay all fees associated with your selected plan. Payment is processed through our third-party payment providers (Stripe, PayPal, and/or Razorpay).
6.3 Billing Cycle
Paid Subscriptions are billed in advance on a monthly or annual basis, depending on your selection. Your Subscription will automatically renew at the end of each billing cycle unless cancelled before the renewal date.
6.4 Price Changes
Parchika reserves the right to modify pricing at any time. We will provide at least 30 days' written notice (via email or in-app notification) before any price increase takes effect. Continued use of the Services after a price change constitutes acceptance of the new pricing.
6.5 Refunds
Subscription fees are generally non-refundable, except as required by applicable law or as explicitly stated in a separate written agreement. If you believe you are entitled to a refund, please contact our support team.
7. Free Trial
Parchika may offer a free trial period for paid plans. During the trial, you will have access to the features of the applicable plan. At the end of the trial period, your account will automatically convert to a paid Subscription unless you cancel or downgrade to the Free Plan before the trial expires. Parchika reserves the right to modify or discontinue free trials at any time.
8. Customer Data and Ownership
8.1 Your Data
You retain all ownership rights to your Customer Data. Parchika does not claim ownership of any data you input, upload, or store through the Services.
8.2 Licence to Parchika
By using the Services, you grant Parchika a limited, non-exclusive, worldwide licence to access, use, process, and display your Customer Data solely for the purposes of providing, maintaining, improving, and supporting the Services, including AI-powered features. This licence terminates when you delete your data or close your account.
8.3 Anonymised and Aggregated Data
Parchika may use anonymised and aggregated data (from which individual businesses or persons cannot be identified) for research, analytics, benchmarking, product improvement, and marketing purposes. This use survives termination of your account.
8.4 Data Backup
Parchika automatically backs up Customer Data to the cloud at frequent intervals. While we take reasonable steps to ensure data integrity and availability, we recommend that you maintain your own independent backups of critical business data. Parchika is not liable for data loss resulting from circumstances beyond our reasonable control.
8.5 Data Export
You may export your Customer Data from the platform at any time during your active Subscription. Upon account termination, Parchika will make your data available for export for a period of 30 days, after which it may be permanently deleted.
9. Acceptable Use Policy
You agree to use the Services only for lawful business purposes and in compliance with all applicable laws and regulations. You shall not:
- Use the Services for any illegal, fraudulent, or unauthorised purpose.
- Attempt to gain unauthorised access to any part of the Services, other users' accounts, or any systems or networks connected to the Services.
- Upload, transmit, or store any content that is harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
- Introduce viruses, malware, or any other harmful code into the Services.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services.
- Use the Services to send unsolicited communications (spam) to your End Customers.
- Resell, sublicence, or redistribute the Services to third parties without Parchika's prior written consent.
- Exceed the usage limits associated with your Subscription plan, including outlet limits, device limits, and user limits.
- Use automated tools (bots, scrapers, crawlers) to access the Services without prior written authorisation.
- Interfere with or disrupt the integrity or performance of the Services.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, without refund, and may subject you to legal action.
10. Intellectual Property
10.1 Parchika's Intellectual Property
All intellectual property rights in and to the Services, including but not limited to the software, website, mobile applications, AI models, algorithms, user interface designs, graphics, logos, trademarks, trade names, documentation, and all related content, are and shall remain the exclusive property of Parchika Ltd or its licensors. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited right to use the Services in accordance with these Terms.
10.2 Feedback
If you provide any feedback, suggestions, or ideas regarding the Services ("Feedback"), you hereby assign to Parchika all rights in such Feedback and acknowledge that Parchika may use and incorporate Feedback into the Services without obligation or compensation to you.
10.3 Trademarks
"Parchika", the Parchika logo, and all related marks are trademarks or registered trademarks of Parchika Ltd. You may not use our trademarks without our prior written consent.
11. Third-Party Services and Links
The Services may integrate with or contain links to third-party websites, services, and applications (including Uber Eats, DoorDash, Zomato, Swiggy, Deliveroo, Shopify, WooCommerce, QuickBooks, Xero, WhatsApp Business, Stripe, PayPal, Razorpay, and others). These third-party services are governed by their own terms and conditions and privacy policies.
Parchika does not endorse, control, or assume responsibility for any third-party services. Your use of third-party services is at your own risk. You are responsible for reviewing and complying with the terms and policies of any third-party services you connect to your Parchika account.
12. Offline Mode and Data Synchronisation
Parchika supports offline billing, allowing you to continue processing transactions when internet connectivity is unavailable. Data generated during offline mode is stored locally on your device and automatically synchronised with the cloud when connectivity is restored.
You acknowledge and agree that:
- Certain features (such as real-time reporting, third-party integrations, and AI insights) may not be available during offline mode.
- Data synchronisation depends on the restoration of internet connectivity, and there may be a brief delay between reconnection and complete sync.
- Parchika is not liable for any data discrepancies or losses arising from extended offline periods or device failure during offline mode.
13. Service Availability and Uptime
Parchika strives to maintain 99.9% uptime for its cloud infrastructure. However, we do not guarantee uninterrupted, error-free, or continuously available service. Planned maintenance windows will be communicated in advance when possible.
Parchika shall not be liable for any downtime, service interruptions, or performance degradation caused by factors outside our reasonable control, including internet outages, power failures, hardware malfunctions, third-party service disruptions, natural disasters, or force majeure events.
Enterprise plan customers may be eligible for specific SLA commitments, including uptime guarantees and compensation for downtime, as outlined in their individual service agreements.

Free plan users receive standard support during business hours. Pro plan users receive priority support. Enterprise plan users receive dedicated 24/7 support with an assigned account manager, as specified in their service agreement.
Parchika will use commercially reasonable efforts to respond to support requests promptly but does not guarantee specific response times unless agreed upon in a separate SLA.
15. Limitation of Liability
15.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PARCHIKA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
15.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PARCHIKA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF PARCHIKA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PARCHIKA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO PARCHIKA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15.3 AI Disclaimer
AI-powered features, including demand forecasting, menu optimisation, anomaly detection, and performance briefs, are provided as decision-support tools only. Parchika does not guarantee the accuracy, reliability, or completeness of AI-generated insights. You are solely responsible for any business decisions made based on AI recommendations.
16. Indemnification
You agree to indemnify, defend, and hold harmless Parchika Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or access to the Services.
- Your violation of these Terms or any applicable law or regulation.
- Your violation of any rights of a third party, including your End Customers.
- Any Customer Data you process, store, or transmit through the Services.
- Any dispute between you and your End Customers, staff, or third-party integration providers.
17. Termination
17.1 Termination by You
You may terminate your account at any time by cancelling your Subscription through your account settings or by contacting our support team. Termination will take effect at the end of the current billing cycle. No refunds will be provided for the remaining period of a prepaid Subscription, except as required by applicable law.
17.2 Termination by Parchika
Parchika may suspend or terminate your account and access to the Services, with or without notice, if:
- You breach any provision of these Terms.
- You fail to pay any fees when due.
- Your use of the Services poses a security risk to Parchika or other users.
- We are required to do so by law, regulation, or court order.
- We discontinue the Services or any material part thereof.
17.3 Effect of Termination
Upon termination:
- Your right to access and use the Services will immediately cease.
- You remain liable for any outstanding fees.
- Parchika will make your Customer Data available for export for 30 days following termination, after which it may be permanently deleted.
- Provisions that by their nature should survive termination (including Sections 8.3, 10, 15, 16, 18, and 19) shall continue in full force and effect.
18. Governing Law and Dispute Resolution
18.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.
18.2 Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the exclusive jurisdiction of the courts of England and Wales.
18.3 Alternative Jurisdictions
For customers located in India, disputes may alternatively be resolved through arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996, with the seat of arbitration in Ahmedabad, Gujarat, India. The language of arbitration shall be English.
19. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy and any applicable Subscription agreement, constitute the entire agreement between you and Parchika regarding the Services and supersede all prior agreements, understandings, and representations.
Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
Waiver: The failure of Parchika to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without Parchika's prior written consent. Parchika may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
Force Majeure: Parchika shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, wars, government actions, power failures, internet disruptions, or third-party service outages.
Notices: All notices under these Terms shall be sent to the email address associated with your account (for notices to you) or to parchika.pos@gmail.com (for notices to Parchika). Notices are deemed received when delivered electronically.
Amendments: Parchika reserves the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Services after such changes constitutes acceptance.
Language: These Terms are drafted in English. In the event of any conflict between the English version and a translated version, the English version shall prevail.
